Object and scope: 

FI-propertymanagement.com is a trademark owned by Florida Invest Property Management LLC, these Terms and Conditions are intended to govern the business relationship between Florida Invest Property Management LLC and its customers. On the basis of these General Terms and Conditions, FI-Property-management.com will provide the Customer with various services such as the purchase and sale of real estate in the USA, the management of works, the creation of companies and certain related services. RELATED ITEMS. These General Terms and Conditions are an integral part of any contract concluded between the Customer and FI-Property-management.com by the signature of a signed form online or on paper. By entering into a Contract with FI-Property-management.com, the Customer accepts these Terms and Conditions. A list of rates and a list of services are available on FI-Property-management.com. All other terms and conditions that deviate from, contradict or supplement these General Terms and Conditions will be excluded from any Contract, unless otherwise expressly agreed in writing between the Customer and FI-Property-management.com. In the event of any conflict between these General Terms and Conditions and any Contract, the provisions of the Contract shall prevail over these General Terms and Conditions.

FI-Property-management.com reserves the right to modify the General Terms and Conditions at any time with immediate effect. The Customer will be informed of these changes by written notice. Amendments will be approved by the Client unless FI-Property-management.com receives a written objection in this regard within one month from the date of notification.

Content and scope of services: Foundation and Management of a Company and Additional Services FI-Property-management.com may provide the Customer with a Company Incorporation Service, in the jurisdictions specified on the list published on the FI-Property-management.com website. FI-Property-management.com may also organize, whether through affiliates of FI-Property-management.com or third parties, the provision of Additional Services such as the appointment of trustees, shareholders trustees, Internet merchant account, company logo, company stamp, company stamp, power of attorney, notarized certification and apostille on documents. Right to refuse services: FI-Property-management.com reserves the right to refuse all or part of the services it offers to a Client without reason or explanation, and can not, under any circumstances, be held responsible for this refusal.

Legal advice: Although FI-Property-management.com strives to provide truthful and correct information about all its services, it does not provide legal advice. Legal purposes: Customer warrants that it will not use any of the rights granted in any Agreement for any unlawful, obscene, immoral or defamatory purpose and will not discredit FI-Property-management.com in any way. The Customer may not use or associate the name of FI-Property-management.com, in whole or in part, for commercial purposes. If applicable, FI-Property-management.com reserves the right to cooperate with any official investigation authority in the case of an allegation of breach of the Customer.

Money laundering and due diligence: The Client will provide FI-Property-management.com with any information deemed necessary by the latter to ensure that the Company complies with the applicable legislation in the fight against money laundering and due diligence. It is the responsibility of the Customer to ensure that the information provided to FI-Property-management.com is correct. The Client also declares to FI-Property-management.com that property or funds introduced into a Company do not constitute, directly or indirectly, the proceeds of a crime or any other illegal activity. In order to enable FI-Property-management.com to meet its legal obligations, the Client will keep FI-Property-management.com fully and quickly informed of any changes concerning the economic beneficiary, the shareholders and the company's managers.

Obligations of the client: The Customer is required to provide the following information:

A copy of the proof of identity, A signed copy of the articles of incorporation of the company (bylaws and by-laws), A copy of the directors' register of the company, A copy of the company's certificate of incorporation, Postal Power of Attorney

In any case, immediately inform FI-Property-management.com of any change to the above mentioned documents, its legal form and its corporate purpose, as well as any changes concerning the name and personal address of the persons who have the power to engage society It is the Customer's responsibility to inform all parties of the change of address. Mail sent later will be returned to the sender.

Incorporation of a Company:
Any Contract as a registered agent of a Company is valid for a full year. In the event that the Client terminates the contract or requests FI-Property-management.com to transfer the Company to another agent or company service provider , FI-Property-management.com will not transfer  the Company until all outstanding payments, expenses and / or fees were paid in full.

We disclaim any responsibility for the consequences of any fraudulent use of such structures. Our object and our role are strictly limited to the creation of these entities in accordance with the legislation in force as well as related and ancillary activities. The mere fact of sponsoring us for the formation of a society implies the unconditional acceptance of the conditions set out above.

In addition to the annual fees, the Client must pay to FI-Property-management.com a single lump sum to allow the creation of a Company. The Client is liable to FI-Property-management.com for all other taxes such as government taxes, duties, taxes and other payments to third parties as well as fees and transfer fees for directors or fiduciary shareholders including disbursements and all justifiable out-of-pocket expenses. The Customer recognizes the right of FI-Property-management.com to review the annual fees. Any changes in the fee structure will be notified to the Customer at least one month prior to the start of services for the period to which the charges relate. The Customer may pay the fees due to FI-Property-management.com using a valid Visa or MasterCard credit card in his name, or by bank transfer. Fees and methods of payment:

Opening of bank account: The Customer may be liable in certain cases for a lump sum for the provision of its services related to the opening of a bank account. These fees can be changed at any time without notice. The Customer will have to pay the administration fees before FI-Property-management.com starts the execution of the service. The Customer may pay the administration fees to FI-Property-management.com by using a valid Visa or MasterCard credit card and in his name, or by bank transfer. Property management : Florida- Invest. LLC agrees and will manage your property according to a management contract for 7% to 10% of the rent according to the complexity of management (minimum billing: $ 80 per month). Communication and instructions :
The Client and FI-Property-management.com may send each other instructions, notices, documents or any other communication by mail, email or fax, UNDER RESERVE, that FI-Property-management .com can send expense or fee notes as an attachment via email. Customer and FI-Property-management.com must retain all instructions, notices, documents or other communications as evidence. All communications intended for FI-Property-management.com will be sent to its registered office or to any other address that FI-Property-management.com has notified to the Customer in writing at any time and, all communications intended for the Customer, will be sent to his address or to any other address that the Client has notified to FI-Property-management.com in writing at any time, including the remaining position instruction to be approved in writing. Data protection :

Legal incapacity:

Without prejudice to any specific provision, any damage resulting from an error or omission on the part of FI-Property-management.com, its directors, employees or agents shall be borne by the Client, unless FI-Property -management.com, its directors, employees or agents have not committed serious negligence or fraud or any other liability that can not be excluded under applicable law.
FI-Property-management.com can not be held responsible if the Additional Services can not be put in place. The liability of FI-Property-management.com for the Additional Services is strictly limited to the selection, instruction and supervision of its affiliates or any other third party.
Any damage or loss resulting from the use of postal services, telegraph, telex, facsimile, telephone, and other means of communication or means of transport, and particularly the loss resulting from delays, misunderstandings, deteriorations, ill-treatment by third parties or the duplication of copies, are the responsibility of the Client, unless FI-Property-management.com has committed serious negligence.

Duration, termination and suspension of benefits:
In general, any Contract lasts for the period indicated and will then be automatically renewed for successive periods equal to the length of the initial period.
For all other aspects, any Contract will be automatically renewed under the same terms and conditions.
FI-Property-management.com or the Customer may terminate any Contract for the term referred to therein, or for the termination of any extension or renewal period, giving at least two months written notice to the other part. Termination is without prejudice to any rights or obligations of a party that occurred prior to the termination or occurring with respect to any act or omission that occurred prior to the termination. The right to immediate termination for just cause is reserved.
In the event of a breach by the Customer of the applicable laws or these General Terms and Conditions, FI-Property-management.com may terminate any Agreement with immediate effect, including a Contract for Additional Services provided by affiliates of FI-Property- management.com or by third parties. In such a case, the Customer must take all the necessary measures to replace any vacancy in any Company following such termination and it is expressly agreed that FI-Property-management.com can not be held liable for any damages as a result of such an immediate termination.

In order to carry out its services, FI-Property-management.com reserves the right to hire subcontractors who will be under its authority. The rights and obligations of the Customer resulting from a Contract may be assigned to third parties only with the written consent of FI-Property-management.com.

Communication :
FI-Property-management.com privileges customer communication by email and strongly invites its customers to use secure access "SSL". The customer must inform FI-Property-management.com in case of change or problem of email, add emails FI-Property-management.com in his "white list" and check that they do not go in spam.
The customer must provide FI-Property-management.com a phone number so we can reach him in case of emergency or malfunctioning emails. A mailing address must also be kept up to date in the customer profile.

Tout client et société se doivent de respecter les lois de l’Etat d’immatriculation, les lois Fédérales du pays en question, les lois du commerce international et autres législations qui s’appliquent, ainsi que les lois de son pays de résidence.
Chaque client se doit de vérifier dans son pays de résidence la faisabilité et la légalité de ses activités ainsi que de ses revenus générés.

Taxation, accounting and legal advice:

Our Additional Services:
The additional services offered by FI-Property-management.com are limited to an administrative and / or technical intervention. FI-Property-management.com does not practice legal services or advice. Applicable right :
All relations between the Client and FI-Property-management.com are governed by Florida law in the USA, regardless of the rules of private international law.
The place of performance of the obligations of all parties for any lawsuit are located in Florida, at the place where FI-Property-management.com at its head office.
However, FI-Property-management.com is also entitled to appeal against the Client, at the Client's place of residence or before any other competent court or authority.
